Terms of Service

Last updated: 31 October 2026

These terms apply when you use this website or work with Upperture Interactive, a brand of Upperture Enterprises (“we”, “us”). For client projects, the written scope we agree with you also applies. If the two disagree, the written scope wins.

What we provide

We design, build and support software for businesses: WhatsApp order automation, AI assistants for documents, workflow automation, AI audits, and custom software. What each project includes, its price and its timeline are set out in a written scope before work starts.

Fees and payment

Fees are fixed in the written scope. Unless it says otherwise, invoices are due within 15 days. Third-party costs that the client chooses to pay directly, such as WhatsApp conversation charges, AI usage or hosting, are the client’s responsibility.

Your responsibilities

Who owns what

Once you have paid in full, you own the work we build specifically for you. We keep ownership of our general tools, know-how and open-source components, and you may use them as part of what we deliver. We may describe the type of work we did for you without naming you, unless you agree otherwise.

Third-party services

Our systems rely on services run by others, such as Meta (WhatsApp), AI providers and hosting companies. We are not responsible for their outages, price changes or policy changes, but we will help you adapt when they happen.

Your data

We handle personal data as described in our Privacy Policy, and only as needed to provide the service. You can ask us to delete it at any time; see Data deletion.

Warranty and liability

We build and test carefully against the agreed scope and fix defects we are responsible for that you report within 30 days of handover. Beyond that, the service is provided as is. AI output can be wrong, so you should check important results before acting on them. To the extent the law allows, our total liability for any claim is limited to the fees you paid us for the project in the 12 months before the claim, and we are not liable for indirect losses such as lost profits.

Ending the work

Either side can end a project with written notice. You pay for the work done up to that point, and we hand over what has been built and delete your data as described in our Privacy Policy.

Governing law

These terms are governed by the laws of India. The courts of Pune, Maharashtra have jurisdiction.
